I. PARTIES TO THE CONTRACT: This contract is by and between _____________, hereinafter referred to as "PARTICIPANT," and CyberAttorney, Inc.
CyberAttorney is a California corporation doing business at 15501 San Fernando Mission Blvd., Suite 311, Mission Hills, CA 91345,
(818) 365-6447. _____________ enters into this contract on behalf of _________________ and warrants that s/he has full
authority to enter into contracts on behalf of ______________.
II. TERM OF CONTRACT: This contract shall be for a term of ____ year(s) from the date that PARTICIPANT receives an e-mail notice
that PARTICIPANT's listing is active.
III. GUARANTEES: PARTICIPANT will receive a listing in the FINDLIEN.COM database, and this listing will be fully searchable
by zip code, name, county, state, country, area of medical practice, and city. CyberAttorney guarantees that PARTICIPANT's listing will be viewed at least ten (10) times through the term
of this contract as described in Paragraph II, above. If PARTICIPANT's listing does not receive a minimum of ten views by users
to FINDLIEN.COM, then PARTICIPANT's listing will automatically renew another full year (i.e., an additional 365 days from the date of
the term's expiration in Paragraph II, above) without additional charge. CyberAttorney makes no other guarantee or warranty
with regards to PARTICIPANT's listing in the FINDLIEN.COM database. CyberAttorney will provide monthly e-mail updates of
the number of listing views. The definition of "view" in this paragraph is defined ONLY as the actual listing appearing on a user's
screen. "View," for purposes of this paragraph, does NOT include actual referrals.
IV. CHOICE OF LAW: All disputes will be resolved under the laws of the State of California.
V. RESOLUTION OF DISPUTES: CyberAttorney and PARTICIPANT agree that resolution of any and all disputes will be through arbitration
only. The party that is successful at any arbitration will be awarded attorneys' fees and costs.
VI. PARTICIPANT OBLIGATIONS AND WARRANTIES: PARTICIPANT warrants that PARTICIPANT and the health care facility are licensed to practice
medicine in the specified areas of practice as follows: ______________________________________. PARTICIPANT will provide CyberAttorney with a faxed copy of PARTICIPANT's
license to practice medicine in addition to any board certifications before CyberAttorney's obligations will take effect as per
Paragraph VII, below. PARTICIPANT will make sure to use the "Member Services" area of the site in order to edit the listing,
and PARTICIPANT agrees to update the listing if and when the index information changes. If PARTICIPANT has recommended additional categories,
PARTICIPANT will also be listed under these categories. CyberAttorney reserves the right to review the suggested categories and, if
in CyberAttorney's view, the requested categories are repetitive or offensive, the requested categories will not be added.
VII. CYBERATTORNEY OBLIGATIONS: After PARTICIPANT's obligations of faxing applicable licenses and board certifications as stated in Paragraph VI, above, are met,
CyberAttorney will provide PARTICIPANT with a listing in the FINDLIEN.COM database for the term specified in Paragraph II of this agreement.
All names and passwords provided to CyberAttorney will remain strictly confidential. All information
obtained from PARTICIPANT will not be sold to third parties.
VIII. INDEMNIFICATION: PARTICIPANT agrees to indemnify and hold harmless CyberAttorney and its employees, its board of directors, its officers,
its subsidiaries, etc. from any and all liability for all actions against CyberAttorney, its employees, its board of directors, its officers,
its subsidiaries, and/or PARTICIPANT for: (a) misrepresentations and/or untruths by PARTICIPANT
regarding license(s) to practice medicine and/or board certifications; and (b) alleged negligence on the part of PARTICIPANT in the medical treatment of an individual
who discovered PARTICIPANT through the use of FINDLIEN.COM. In the event that CyberAttorney is forced to hire an attorney to represent
it for a legal action against it pursuant to this paragraph, PARTICIPANT agrees to indemnify CyberAttorney for any and all attorneys' fees
and costs associated with CyberAttorney's defense.
IX. THIRD-PARTY SOLICITATION: PARTICIPANT understands that CyberAttorney has no control over who views these listings because FINDLIEN.COM
is freely available to anyone who wants to use it. PARTICIPANT understands that PARTICIPANT's information may be obtained by third parties for the purpose of solicitation through a third party's active search of the FINDLIEN.COM
database. As per Paragraph VII, CyberAttorney will not sell, trade, or exchange PARTICIPANT's information to third parties; however, CyberAttorney does not guarantee against
PARTICIPANT receiving unsolicited advertisements as a result of PARTICIPANT's FINDLIEN.COM listing.
X. RENEWAL OF LISTING: PARTICIPANT will be notified at least two weeks before the expiration of the listing. PARTICIPANT
will be notified of the then current renewal rate. PARTICIPANT will be able to renew membership through the Member
Services area of the site.
XI. METHODS OF PAYMENT BY PARTICIPANT: PARTICIPANT can pay for his/her/its' listing using Visa, MasterCard, or Discover on our
secure servers supplied by CardServices International. Credit card charges are made once, and CyberAttorney will keep no further record of
the credit card information for PARTICIPANT's safety. PARTICIPANT can also choose to pay by money order or check, made payable to CyberAttorney.
Payment by mail must be received within ten (10) days from the date of application or else the application will be deleted. If payment is made
by check and the check is returned (i.e., "bounces"), CyberAttorney will assess PARTICIPANT a $25 (twenty-five dollar) service charge.
